Terms of Service

Welcome to GameVote. These Terms of Service ("Terms") govern your access to and use of the GameVote website, web application, and mobile applications (collectively, the "Services") provided by Expeed Technology Pty Ltd ("we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using GameVote, you agree to these Terms, our Privacy Policy, and any additional terms that may apply to specific features or services. If you do not agree to these Terms, you may not use our Services.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website or through the Services. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

2. Eligibility

You must be at least 18 years old to create a GameVote account and enter into these Terms. If you are using the Services on behalf of an organization (such as a sporting club or team), you represent that you have the authority to bind that organization to these Terms.

The Services are not intended for children under 13. If you become aware that a child under 13 has provided us with personal information, please contact us at support@gamevote.com.au.

3. Account Registration and Security

3.1 Account Creation

To use certain features of GameVote, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your password and account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3.2 Account Types

GameVote offers different account types (Team, Club, etc.) with varying features and limitations as described on our Pricing page. You are responsible for selecting the appropriate account type for your needs.

4. Subscriptions and Payments

4.1 Subscription Plans

GameVote is offered as a subscription service with monthly and annual billing options. Subscription details, including pricing and features, are available on our Pricing page and may be updated from time to time.

4.2 Billing and Payments

  • Subscriptions are billed in advance on a recurring basis (monthly or annually)
  • You authorize us to charge your payment method on the applicable billing cycle
  • You are responsible for providing current, complete, and accurate billing information
  • If payment fails, we may suspend or terminate your access to the Services
  • All fees are non-refundable except as required by law or as expressly stated in these Terms

4.3 Price Changes

We reserve the right to change our subscription fees. We will provide you with reasonable advance notice of any price changes. If you do not agree to the price change, you may cancel your subscription before the change takes effect.

4.4 SMS Credits

Some subscription plans include SMS credits for text message voting. SMS credits are:

  • Non-transferable between billing periods
  • Non-refundable if unused
  • Available for purchase separately if your included credits are exhausted

5. Cancellation and Termination

5.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting us at support@gamevote.com.au. Cancellation will be effective at the end of your current billing period. You will retain access to the Services until that time, but you will not receive a refund for any remaining time in your subscription period.

5.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including if:

  • You violate these Terms
  • Your payment fails or your account is past due
  • You engage in fraudulent, abusive, or illegal activities
  • We discontinue the Services (with reasonable notice)

5.3 Effect of Termination

Upon termination or cancellation:

  • Your right to access and use the Services will immediately cease
  • You will have 30 days to export your data from the platform
  • After 30 days, we may permanently delete your account and all associated data
  • All provisions of these Terms that should reasonably survive termination will continue to apply

6. Use of the Services

6.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with these Terms and your subscription plan.

6.2 Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Violate the rights of others, including privacy, intellectual property, or other proprietary rights
  • Attempt to gain unauthorized access to the Services, other accounts, or computer systems
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Use any automated means (bots, scrapers, etc.) to access the Services without our permission
  • Transmit viruses, malware, or any other malicious code
  • Impersonate any person or entity or misrepresent your affiliation
  • Reverse engineer, decompile, or disassemble any portion of the Services
  • Remove, alter, or obscure any proprietary notices on the Services
  • Use the Services to send spam or unsolicited messages
  • Resell, sublicense, or otherwise commercially exploit the Services without our permission

7. User Content and Data

7.1 Your Content

You retain ownership of all content, data, and information you submit to the Services ("User Content"), including team rosters, player information, votes, and comments. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely to provide and improve the Services.

7.2 Responsibility for User Content

You are solely responsible for your User Content and warrant that:

  • You have all necessary rights and permissions to submit the User Content
  • Your User Content does not violate any laws or third-party rights
  • Your User Content does not contain any viruses, malware, or harmful code

7.3 Data Privacy and Security

We take data security seriously. Please review our Privacy Policy to understand how we collect, use, and protect your data. You are responsible for complying with applicable privacy laws when collecting personal information from players, parents, or other individuals through the Services.

7.4 Data Backup and Export

While we maintain regular backups of the Services, you are responsible for maintaining your own backup copies of your User Content. You may export your data at any time through the Services.

8. Intellectual Property Rights

8.1 Our Rights

The Services, including all software, content, trademarks, logos, and other materials (excluding User Content), are owned by Expeed Technology Pty Ltd and protected by intellectual property laws. All rights not expressly granted to you are reserved by us.

8.2 Trademarks

"GameVote" and associated logos are trademarks of Expeed Technology Pty Ltd. You may not use our trademarks without our prior written permission.

8.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback into the Services without any obligation to you.

9. Third-Party Services and Links

The Services may contain links to third-party websites, services, or integrations (e.g., payment processors, SMS providers, app stores). We are not responsible for the content, privacy practices, or terms of service of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

WE DO NOT WARRANT THAT:

  • The Services will be uninterrupted, timely, secure, or error-free
  • The results obtained from using the Services will be accurate or reliable
  • Any errors in the Services will be corrected
  • The Services will meet your specific requirements

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPEED TECHNOLOGY PTY LTD, ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Services
  • Any conduct or content of any third party on the Services
  • Unauthorized access, use, or alteration of your content or data
  • Any other matter relating to the Services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 AUD, WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Expeed Technology Pty Ltd, its directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your User Content

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Australia, Australia, without regard to its conflict of law provisions.

13.2 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts located in Adelaide, South Australia, for the resolution of any disputes arising out of or relating to these Terms or the Services.

13.3 Informal Resolution

Before filing a formal legal claim, you agree to first contact us at support@gamevote.com.au to attempt to resolve the dispute informally.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Expeed Technology Pty Ltd regarding the Services and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We will not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service provider failures.

14.6 Survival

The following sections shall survive termination of these Terms: User Content and Data, Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and General Provisions.
